Necta Terms of Service

Necta is a personal note-capture and AI-organization tool. You capture thoughts (typed, photographed, or spoken), and Necta uses AI to clean them up, categorize them into "hives," and help you search, chat with, and act on them. Some features (e.g., certain AI-powered tools, unlimited usage beyond free limits) are part of the paid "Necta Pro" subscription.

You need an account to use Necta. You're responsible for keeping your login credentials secure and for all activity under your account. You must provide an accurate email address, and you must be 13 or older to use Necta.

Necta Pro is billed on a recurring basis through Stripe. By subscribing, you authorize Stripe to charge your payment method automatically each billing period until you cancel. You can cancel anytime through the billing portal in the app; cancellation stops future charges but doesn't refund the current billing period unless required by law. We may change Pro pricing or features going forward, with reasonable notice for existing subscribers.

Necta uses third-party AI (OpenAI) to transcribe, rephrase, categorize, and generate suggestions, insights, and summaries based on what you capture. AI output can be inaccurate, incomplete, or misleading. Necta does not verify the factual accuracy of AI-generated text, categorization decisions, or suggestions. You're responsible for reviewing and independently verifying anything important before relying on it — this includes goals, insights, "suggested next actions," and any other AI-generated content. Necta is not a substitute for professional advice (medical, legal, financial, or otherwise).

You own everything you capture in Necta. We don't claim ownership over your notes, goals, or other content. You're solely responsible for what you store — don't capture anything illegal or anything you don't have the right to store. We may remove content or suspend accounts that violate these Terms or the law.

Don't use Necta to: break the law; attempt to access another user's account or data; interfere with or disrupt the service (including attempting to bypass rate limits or usage caps); or reverse-engineer or resell the service.

You can permanently delete your account and all associated data at any time from within the app — this is immediate and irreversible. We may also suspend or terminate accounts that violate these Terms, with notice where reasonably possible.

Necta is provided on a best-effort basis. We don't guarantee the service will be uninterrupted, error-free, or available at all times. We may modify or discontinue features (or the service as a whole) at any time.

Necta is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that AI-generated output will be accurate, reliable, or suitable for your purposes. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other law that cannot lawfully be excluded. To the extent our liability for breach of such a guarantee cannot be excluded, but can be limited, our liability is limited (at our option) to resupplying the service or paying the cost of having it resupplied.

To the fullest extent permitted by law, Necta and its operator are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the service. Our total liability for any claim relating to Necta is limited to the amount you paid us in the 12 months before the claim arose (or $0 if you're on the free plan), except where limited instead by Section 9 above.

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of Necta or your violation of these Terms.

We may update these Terms from time to time. Material changes will be reflected with an updated effective date above. Continued use after changes means you accept the updated Terms.

These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict-of-law principles.
